This page summarizes the terms of using ZenovaConnect for customers using the platform, API, self-hosted delivery, or business engagement. The definitive legal text will be confirmed by counsel before launch; the executed contract governs at signing.
1. Acceptance of Terms
Use of ZenovaConnect indicates acceptance of these terms. The contracting entity and signing details are confirmed in the commercial contract.
2. Description of Service
ZenovaConnect is the device-data integration layer for solar and storage, providing vendor API normalization, a unified schema, Webhook / Kafka / MQTT delivery, and Self-Hosted deployment options. Not included: (a) availability guarantees of vendor APIs themselves (controlled by upstream vendors); (b) stability of the customer's own receiving systems.
3. Account Responsibilities
Customers are responsible for keeping account credentials, API keys, and vendor credentials confidential. Security incidents resulting from shared or leaked credentials are borne by the customer.
4. Fees & Payment
Fee structure, billing cycle, and overage are defined on the pricing page and in the signed contract. Cloud Standard public pricing starts at ¥10 / device / year. Self-Hosted is quoted per project, including deployment and annual maintenance.
5. Service Level Agreement
SLA tiers are listed on the Enterprise page: Standard 99.5% / Pro 99.9% / Enterprise 99.99%. Force majeure (including, but not limited to, vendor cloud outages, ISP failures, natural disasters) is excluded from SLA accounting.
6. Data Ownership & Processing
Data ownership: (a) raw telemetry belongs to the customer; (b) we act as a data processor on customer instructions; (c) derived aggregate statistics and our protocol library belong to us. Retention, deletion, and sharing details are described in the Privacy Policy.
7. Intellectual Property
ZenovaConnect software, protocol library, documentation, and trademarks are owned by Zenergy. Self-Hosted licenses are limited to customer internal use and may not be redistributed. Source-code licensing is contracted separately.
8. Termination
Either party may terminate per contract with written notice; we may terminate immediately for material breach. A reasonable data export window is provided post-termination, defined in the contract.
9. Limitation of Liability
Our liability is capped at the lesser of (12-month fees paid by the customer, actual damages). Excluded: indirect damages and lost profits. Subject to reasonable safeguards, data loss is not a compensable event.
10. Governing Law & Disputes
These terms are governed by the laws of the People's Republic of China. Dispute resolution is defined in the executed contract.
11. Changes to These Terms
Material changes will be notified in advance. Customers who do not accept changes may terminate the service per contract.
